Pangea have been retained to conduct a search for a Manager (VP) within the M&A & Project Finance team of a well-funded, fast growing developer of utility-scale solar projects and battery storage systems. They are fully backed by a large investor, and have more than 20GW in their development pipeline.
As a Manager in the M&A and Project Finance team, you will take a leadership role in managing the execution of asset sales, M&A and Project Finance transactions, as well as strategic partnerships. You will oversee and lead financial modelling, due diligence, and the coordination of cross-functional teams to ensure successful deal execution.
This role would suit an experienced Project Finance professional within the renewable energy industry who is looking to join a lean and dynamic team, with the opportunity to progress quickly and work with the senior leadership team to shape strategy within a platform striving to become a global IPP.
THE ROLE
THE CANDIDATE

THE ROLE
- Lead the financial modelling and valuation of solar PV and BESS assets, ensuring precise assessments for FID/sale.
- Manage the entire due diligence process, working with internal teams and external advisors to guarantee seamless execution.
- Oversee coordination and performance of external advisors (e.g., financial, legal, technical), managing scopes of work, timelines, and budgets to ensure efficient and value-accretive transaction execution
- Actively participate in negotiations and support the senior management in transaction discussions and final decisions.
- Manage the end-to-end project financing process for utility-scale solar PV and BESS assets, including structuring, modelling oversight, and commercial negotiation.
- Lead lender and investor engagement to secure financing under optimal terms, coordinating internal input across legal, technical, and development functions.
- Review and negotiate financing documentation, ensuring risk allocation and covenant structures align with the company’s commercial and strategic objectives.
- Manage relationships with financial and legal advisors throughout the financing process, ensuring clear scope definition, cost control, and alignment with internal objectives and timelines.
- Collaborate with internal departments to identify and execute operational or financial improvements that enhance asset value.
- Drive strategies to optimise asset value and ensure the best possible presentation to the market.
- Oversee the analysis and due diligence for potential mergers, acquisitions and strategic partnerships.
- Prepare detailed business cases and financial models, and present findings to senior leadership for approval.
- Manage all aspects of the transaction process, from initial origination through to deal closing, ensuring successful execution and post-deal integration.
- Collaborate with senior executives to ensure that all deal-related activities align with the company’s broader commercial strategy.
- Provide senior leadership with regular updates on the status of asset sales and M&A and Project Finance opportunities, and market dynamics.
- Offer strategic insights on emerging trends, competitor activities, and market opportunities in the renewable energy sector.
- Mentor and manage junior Analysts and Associates, providing guidance on financial modelling, transaction management, and due diligence.
THE CANDIDATE
- 7-9 years of experience in M&A and/or Project Finance within the renewable energy sector, ideally from a bank or an IPP, with a proven track record of a leading role in transactions, asset sales, and strategic partnerships.
- Strong expertise in financial modelling, asset valuation, and deal structuring, particularly within the renewable energy sector.
- Strong negotiation skills, with the ability to manage relationships with external buyers, financial advisors, lenders and other stakeholders, including senior management and executives.
- Ability to manage multiple complex transactions simultaneously, ensuring timely and successful completion of asset sales and M&A and Project Finance transactions.
- Strong leadership skills, with experience in managing and mentoring junior staff, helping them develop their financial and transaction management expertise.
- Strong project management and leadership skills, with experience overseeing cross-functional teams during complex transactions.
